Affiliate Programme Terms
Last updated: October 21, 2026
1. Programme Overview
The IndReelForge Affiliate Programme ("Programme") allows participants ("Affiliates") to earn recurring commissions by referring new paying customers to IndReelForge ("Company", "we", "us"). By joining or participating in the Programme, you agree to these Affiliate Programme Terms ("Affiliate Terms") in addition to our Terms of Use and Privacy Policy. In the event of a conflict, these Affiliate Terms take precedence with respect to Programme matters.
2. Eligibility
To participate in the Programme you must:
- Hold a valid IndReelForge account in good standing
- Be at least 18 years of age, or the age of majority in your jurisdiction
- Have a valid Indian bank account or UPI ID capable of receiving payouts in INR
- Hold a valid Indian Permanent Account Number (PAN), which must be provided before any payout is made
- Not be an employee, contractor, or immediate family member of an IndReelForge employee
- Accept these Affiliate Terms in full before generating a referral link
Approval is automatic. Eligible account holders who accept these Affiliate Terms are activated immediately and receive their referral link straight away — there is no manual review. We nevertheless reserve the right to suspend or terminate any affiliate account at any time, including where we believe the account is engaged in fraud or poses a risk of brand damage or legal liability (see Sections 9 and 12).
3. Referral Attribution & Cookie Window
When a visitor clicks your unique referral link, a first-party cookie (irf_ref) is set in their browser with a 60-day expiry window. If that visitor upgrades from the free plan to any paid IndReelForge plan within 60 days of their first click, the conversion is attributed to you.
- Attribution is last-click: if the visitor clicks another affiliate's link before purchasing, that affiliate receives the commission
- A conversion is defined as a free-plan user completing a paid subscription purchase through Razorpay
- Free sign-ups without a subsequent paid upgrade do not constitute a conversion and do not earn commission
- Self-referrals (referring your own account) are prohibited and will result in immediate termination
4. Commission Structure & Tiers
Commissions are recurring — you earn on every payment your referred customer makes (including subscription renewals and add-on purchases) for as long as they remain a paying customer. Your commission rate increases automatically as you accumulate confirmed referrals:
| Tier | Confirmed referrals | Commission rate |
|---|---|---|
| 🥉 Bronze | 0 – 9 | 15% |
| 🥈 Silver | 10 – 24 | 20% |
| 🥇 Gold | 25 – 49 | 25% |
| 💎 Platinum | 50+ | 30% |
Tier advancement is based on confirmed referrals only — referrals in pending or disputed status do not count toward tier thresholds. Tiers are evaluated automatically; no manual request is required.
5. Commission Calculation
Your commission is calculated on the GST-exclusive amount paid by your referral (after any discount). GST is excluded, and payment processing fees are not deducted. For example, on a ₹999/month subscription (₹999 + 18% GST charged at checkout), the commissionable base is ₹999. Your commission is applied to this figure at your current tier rate.
Each payment by a referred customer — the first subscription payment, every renewal and every add-on purchase — creates a separate commission at the tier rate applicable to you at the time of that payment.
Annual subscriptions are paid in a single upfront charge. Commission on annual plans is earned and processed as a single payment in the month the subscription is confirmed, not spread across 12 months.
6. Commission Hold Period
All newly earned commissions are subject to a hold period, currently 30 days, from the date the underlying payment is confirmed. This hold exists to account for refund windows and chargebacks. Commissions become "payable" only after the hold period expires and the underlying payment has not been refunded or disputed. Commissions still in their hold period, or placed on hold because the underlying payment is disputed, are not eligible for payout. We may change the length of the hold period under Section 13.
7. Payouts
- Schedule: Payouts are processed on the 1st of each calendar month covering your entire payable balance at that time (all commissions whose hold period has ended, net of any reversals)
- Minimum threshold: Your payable balance must reach the payout minimum, currently ₹2,000, before a payout is issued. Balances below this threshold roll over to the following month
- Prerequisites: A payout is made only once you have saved valid payout details (UPI ID or bank account) and your PAN in your affiliate dashboard. Payable balances are carried forward until both are provided
- Methods: UPI or Indian bank transfer via RazorpayX (your choice, configured in your affiliate dashboard). You are responsible for ensuring your payout details are accurate before the 1st of each month
- Currency: All payouts are made in Indian Rupees (INR) via RazorpayX
- Failed payouts: If a payout fails due to incorrect account details, you must correct your payout information within 30 days. Unclaimed balances after 90 days of repeated failure may be forfeited
- Disputed transactions: We reserve the right to withhold payment pending investigation of any dispute or fraud concern
8. Refunds & Chargebacks
If a referred customer receives a refund (full or partial) or initiates a chargeback on a payment, the commission earned on that payment is reversed. Where the commission is still in its hold period it is simply cancelled; where it has already become payable or been paid out, it will be clawed back from your next payout. While a chargeback is being disputed, the related commission may be placed on hold. If your payable balance is insufficient to cover the clawback, the negative balance will be carried forward and deducted from future earnings. We are not obligated to make a payout if the resulting commission balance would be negative.
9. Prohibited Promotion Methods
The following promotional methods are strictly prohibited and may result in immediate termination and forfeiture of earnings:
- Sending unsolicited email (spam) or bulk messages
- Bidding on IndReelForge brand keywords (e.g. "IndReelForge", "InReelForge") in paid search advertising
- Creating fake reviews, misleading testimonials, or deceptive comparisons
- Cookie stuffing, pixel dropping, or any technique that attributes conversions without a genuine user click
- Self-referrals or referring employees, contractors, or immediate family members
- Misrepresenting the Programme or IndReelForge's features, pricing, or policies
- Operating coupon or cashback sites that override last-click attribution without prior written approval
- Placing affiliate links on sites containing adult content, hate speech, or illegal material
10. Intellectual Property & Brand Use
We grant you a limited, non-exclusive, revocable licence to use the IndReelForge name, logo, and approved marketing materials solely for the purpose of promoting the Programme. You must:
- Not alter, distort, or misuse our brand assets
- Not imply an endorsement, partnership, or employment relationship beyond the affiliate referral arrangement
- Remove all brand materials promptly upon termination of your affiliate account
11. Tax (PAN & TDS)
You participate as an independent party, not as an employee of IndReelForge, and you are responsible for reporting your commission income and paying any tax due on it under the Indian Income-tax Act, 1961.
- PAN required: You must provide a valid PAN and the name as it appears on your PAN before any payout is made. Payable balances are held until a PAN is on file
- TDS under Section 194H: Affiliate commission is treated as commission income. Once your total commission from us in a financial year (April–March) exceeds the statutory threshold, tax will be deducted at source at the applicable rate from each payout, and the amount deducted is deposited with the Government against your PAN
- Statements: Each payout shows the gross amount, TDS deducted and the net amount paid. A TDS certificate (Form 16A) is available on request for each quarter in which tax was deducted
- Where an incorrect or invalid PAN is provided, a higher rate of TDS may apply as required by law
- GST: if you are registered for GST and wish to invoice us for commission, contact support before your next payout
12. Termination
Either party may terminate participation in the Programme at any time. Upon termination:
- Your referral link will be deactivated immediately
- Commissions already in "payable" status (hold period expired, not disputed) will be paid out at the next scheduled payout date provided you meet the payout minimum. This also applies if your account is suspended: a suspended affiliate stops earning new commission, but their already-earned payable balance is still paid, unless it is voided for fraud as described below
- Commissions still in the 30-day hold period at the time of termination are forfeited if termination is due to a violation of these Affiliate Terms
- Commissions still in hold due to normal good-standing termination will be paid after the hold period expires, subject to the payout minimum
We reserve the right to terminate your account and void all pending and payable commissions if we determine, at our sole discretion, that you have engaged in fraudulent activity, violated these Affiliate Terms, or caused reputational harm to IndReelForge.
13. Modifications to the Programme
We reserve the right to change commission rates, tier thresholds, payout schedules, or any other Programme terms at any time. Where practical, we will provide at least 30 days' notice of material changes via email or in-dashboard notification. Continued participation after notice of a change constitutes acceptance of the updated terms. If you disagree with a change, your sole remedy is to withdraw from the Programme.
14. Disclaimer & Limitation of Liability
The Programme is provided "as is." IndReelForge makes no guarantees regarding earnings potential. Commission amounts depend entirely on the number and retention of customers you refer, which we do not control. Our liability to you in connection with the Programme shall not exceed the total commissions paid to you in the three months preceding the event giving rise to the claim.
15. Governing Law
These Affiliate Terms are governed by the laws applicable to IndReelForge's place of incorporation, without regard to conflict-of-law principles. Any disputes arising out of the Programme shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of a mutually agreed arbitration body.
